Introduction

1. Who we are

The owner of this website is Trustev Limited, an Irish limited liability company (No. 516425), having its registered office at Heritage Business Park, Bessboro Road, Blackrock, County Cork (“Trustev”). We can be contacted by email at [info@trustev.com]. Our VAT number is IE 9839999S.

2. What we do

Trustev partners with online retailers (“Merchants”) and provides them with reports (“Trustev Scores”) in respect of users of their websites (“Customers”). Trustev Scores are indicators of the credit worthiness of a Customer in respect of online transactions and are based on information about Customers collected and processed by Trustev. This information may include Personal Data in relation to the Customer (as defined in the Data Protection Acts 1988 & 2003). 3. Acceptance of Terms of Use

Every person that accesses this website (“User”) agrees by virtue of such use to be legally bound by and act in accordance with these Terms of Use and by all other applicable provisions; in particular User agree not to do the acts prohibited under Clauses 14 to 17 below. If a User disagrees with these Terms of Use and/or with any other of the applicable provisions, the User is not permitted to, and agrees not to, use this website.

4. Permitted use

Users who are not Customers or Merchants are only permitted to view this website and to transfer to other websites through links provided on this website.

Use by Customers

5. Managing Information Held by Trustev

Customers may log into this website to manage the information that we hold about them and the access that we have to their Social Network Accounts. For more information please see our Privacy Policy.

Use by Merchants

6. Registration

In order to request a Trustev Score Merchants must first register a user account on this website (“Merchant Account”). When registering, Merchants shall provide their tax registration number and company registration number (if applicable) so that their identity can be verified. Further verification information may be sought in some instances. Trustev reserves the right to refuse to register a Merchant at its sole discretion.

7. Payment Plans

Merchants shall sign up to one of the Tariffs set out in our Privacy Policy. The Tariffs set out in the Pricing Policy are ex VAT. Merchants shall be billed for the Trustev Scores they have been provided at the rate set out in their Tariff monthly in arrears. If a Merchant exceeds the usage set out in the relevant Tariff they may be advised to move to a Tariff providing for higher usage, failing which further requests for Trustev Scores may not be accepted.

8. Request for Trustev Score

Trustev will provide Merchants with a ‘plug-in’ that can be installed onto the Merchant’s website or an Application Programing Interface that can be written into the website’s code. The Plug-In or API can be used by the Merchant to submit a request for Trustev Score. Please see the “Request a Trustev Score” section in our FAQ.

9. Confirmation of Request

When a Merchant places a request to purchase a Trustev Score from us, the Merchant will receive a communication from Trustev confirming receipt of the request and containing the details of the request (the "Request Confirmation"). The Request Confirmation is an acknowledgement that Trustev has received the request, and does not confirm acceptance of the Merchant’s offer to purchase the Trustev Score requested.

10. Acceptance of Request

Trustev only accepts a Merchant’s offer, and concludes the contract of sale for the Trustev Score requested, when the Trustev Score is sent to the Merchant. Acceptance of an offer is at the sole discretion of Trustev.

11. Licence to Use Trustev Score

Merchants are granted a non-exclusive, non-transferrable, licence to use the information contained in a Trustev Score for relates period of 30 days and shall delete the information on the expiry of the licence.

12. Permission from Customer

Merchants shall ensure that when a Customer registers with the Merchant’s website or submits an order to the Merchant the following wording is clearly brought to the attention of the Customer:- “We partner with Trustev Limited (“Trustev”) in order to ensure an efficient purchasing process for our customers. By registering with this website/placing this order you are consenting to us sharing information about you with Trustev including any access rights you have granted us to your Facebook, Twitter, Linkedin or other social network account. Trustev will use this information to build a profile of your online activity which will allow it to provide credit ratings in relation to you to us and to other online retailers. For further information please refer to Trustev’s Privacy Policy. If you do not wish us to share information with Trustev please tick this box □” The underlined words shall be a hyperlink to Trustev’s Privacy Policy. Merchants shall take reasonable steps to ensure that it shall not seek consent from Customers that are less than 18 years of age.

13. Merchant’s Undertakings

By submitting a request for a Trustev Score the Merchant warrants and undertakes to Trustev that (a) it has received explicit permission from the Customers to share the details of the Customer’s order and, if applicable, access to the Customers social network accounts with Trustev for the purpose of generating the Trustev Score as set out in Clause 12 above and (b) it will comply with the provisions of the Data Protection Acts, 1998 & 2003 and any other applicable laws which relate to the obtaining, processing, transmitting and security of the Customer’s personal data. The Merchant agrees to indemnify Trustev in respect of any loss, claim, and penalty incurred by it as a result of the failure of the Merchant to comply with the warranties and undertakings set out in this Clause 13.

General

14. Rights in Website Content

All content included in or made available through this website, such as text, graphics, logos, button icons, images and data compilations is the property of Trustev. Users may not extract and/or re-utilise parts of the content of this website without our express written consent. In particular, users may not utilise any data mining, robots, or similar data gathering and extraction tools to extract (whether once or many times) for re-utilisation any substantial parts of the content of this website, without our express written consent.

15. Unauthorised Access

It is expressly forbidden for a User to access or attempt to access a Customer Profile or Merchant Account other than the User’s own.

16. Links to this Website

Users may not establish and/or operate links to this website without Trustev’s prior written permission save for Merchants who may do in accordance with Clause 12.

17. Exclusion of Liability

Trustev will not be held liable for any losses and/or damages whatsoever arising from the use of this website or the services provided herein or the use of any other website to which this website provides a link, or from the use of information presented on this or any such other website. The Trustev Score is merely an indication of a Customer’s credit worthiness and Trustev gives no warranty and makes no representation as to the effectiveness of the Trustev Score in predicting whether a Customer will make payment in respect of any order submitted to a Merchant.

18. Applicable Law and Jurisdiction

It is a condition precedent to the use of this website that any such party submits to the sole and exclusive jurisdiction of the Courts of the Republic of Ireland and to the application of the law in that jurisdiction, including any party accessing such information or facilities on their own behalf or on behalf of others.

19. Amendments to Terms of Use

These Terms of Use may change from time to time and any changes to the terms will be posted on this page.
